Terms of Service

1. Agreement to these terms

These Terms of Service govern access to and use of OpsSlate Books, including our websites, applications, customer portals, billing flows, and related services (the “Service”). By accessing or using the Service, you agree to these terms on behalf of yourself and the company or organization you represent.

If you are agreeing on behalf of a company, you represent that you have authority to bind that company. If you do not agree, do not use the Service.

2. Who we are

The Service is provided by DarkSteel AI LLC, doing business as OpsSlate Books (“OpsSlate,” “we,” “our,” or “us”). Contact: mike@opsslate.app and Hamburg, NY 14075, USA.

3. Eligibility and accounts

You must be at least 18 years old and able to enter a binding contract to use the Service. You are responsible for keeping account credentials secure and for all activity under your account. You must provide accurate account, company, and billing information and keep it current.

4. Service scope

OpsSlate Books is contractor-focused business software. Features may include estimating, invoicing, job costing, receivables, payables, payroll-related workflows, compliance tracking, reports, customer portals, and payment processing integrations. Features may change over time.

The Service is a software tool only. Unless expressly stated in a separate signed agreement, OpsSlate does not provide legal, tax, accounting, payroll processing, bonding, or compliance advice.

5. Subscriptions, billing, and renewals

Paid plans are billed in advance on a recurring basis until canceled. By starting a paid subscription, you authorize us and our payment processor to charge the payment method on file for subscription fees, taxes, and any permitted overages or add-ons.

Pricing, plan limits, and included features may be updated prospectively. Unless required by law, fees are non-refundable once billed. You may cancel renewal at any time, and cancellation will take effect at the end of the current billing period unless we state otherwise in writing.

Trials may convert to paid plans unless canceled before the trial ends.

6. Customer data

You retain ownership of the business data, documents, employee information, financial records, and other content you submit to the Service (“Customer Data”). You grant OpsSlate a limited right to host, process, transmit, back up, and display Customer Data only as needed to operate, secure, and improve the Service and to comply with law.

You are responsible for the accuracy, legality, and permissions associated with Customer Data, including notices and consents required for employee, customer, subcontractor, or public-project information.

7. Acceptable use

You may not use the Service to break the law, violate privacy rights, send spam, infringe intellectual property, distribute malware, interfere with system security, scrape or reverse engineer the Service except where prohibited by law, or upload content you do not have the right to use.

You may not use the Service for high-risk activities where failure could lead to death, bodily injury, or severe property or environmental damage.

8. Integrations and third-party services

The Service may rely on third-party providers such as Stripe, hosting providers, email delivery services, mapping providers, and analytics tools. Your use of those third-party services may also be governed by their terms and privacy policies. OpsSlate is not responsible for third-party products we do not control.

9. Intellectual property

OpsSlate and its licensors own the Service, including the software, interface design, branding, content, and underlying technology, except for Customer Data. These terms grant you a limited, non-exclusive, non-transferable, revocable right to use the Service during your subscription term for your internal business operations.

10. Feedback

If you provide ideas, suggestions, or feedback, we may use them without restriction or compensation to improve the Service.

11. Availability, beta features, and changes

We aim to keep the Service available, but we do not guarantee uninterrupted or error-free operation. We may modify, suspend, or discontinue features at any time. Features labeled beta, preview, pilot, or similar are provided as-is and may be changed or removed at any time.

12. Suspension and termination

We may suspend or terminate access if you violate these terms, create legal or security risk, fail to pay amounts due, or misuse the Service. You may stop using the Service at any time. Upon termination, your right to use the Service ends immediately, but sections that by their nature should survive will survive, including payment obligations accrued before termination.

13. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, OPSSLATE DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND THAT THE SERVICE WILL BE ACCURATE, ERROR-FREE, OR SUITABLE FOR YOUR COMPLIANCE, ACCOUNTING, TAX, BONDING, OR LEGAL REQUIREMENTS.

14. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OPSSLATE AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST DATA, BUSINESS INTERRUPTION, OR LOSS OF GOODWILL.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL LIABILITY OF OPSSLATE FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE AMOUNTS PAID BY YOU TO OPSSLATE FOR THE SERVICE DURING THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

15. Indemnification

You will defend, indemnify, and hold harmless OpsSlate and its affiliates, officers, employees, and contractors from claims, damages, losses, liabilities, and expenses arising from your Customer Data, your use of the Service, your violation of these terms, or your violation of applicable law or third-party rights.

16. Electronic communications

You consent to receive notices, disclosures, invoices, and other communications electronically, including by email, in-app notice, or posting through the Service. You are responsible for keeping your contact information current.

17. Governing law and disputes

These terms are governed by the laws of New York, without regard to conflict-of-law rules. Any dispute arising out of or relating to these terms or the Service will be resolved exclusively in the state or federal courts located in Erie County, New York, and each party consents to that jurisdiction and venue.

18. Changes to these terms

We may update these terms from time to time. Material changes will be posted through the Service or on this page. Continued use of the Service after the effective date of updated terms means you accept the updated terms.
